ExpreS2ion säkrar garanti för teckningsoptioner och tecknar avtal om säljoption

ExpreS2ion har erhållit ett garantiåtagande om 19,3 miljoner kronor för sitt pågående teckningsoptionsprogram TO 13, vilket täcker cirka 60 procent av den maximala emissionslikviden. Bolaget har även ingått ett avtal om en säljoption med Alumni Capital, vilket ger tillgång till upp till 50 miljoner kronor under två år. BioStock kontaktade ExpreS2ions vd Bent U. Hørsholm-baserade ExpreS2ion utvecklar aktiva immunterapier och vacciner mot cancer och infektionssjukdomar. Huvudkandidaten ES2B-C001 är en ny typ av aktiv immunterapi för HER2-uttryckande cancertumörer, som för närvarande befinner sig i fas I-utveckling.

Likviden från teckningsoptionsprogrammet är öronmärkt i följande prioritetsordning: att slutföra fas I-studien fram till den primära datautläsningen, att stärka bolagets position i pågående och planerade licensförhandlingar med internationella onkologiaktörer, att investera i intern utveckling och plattformskapacitet, samt för allmän affärsutveckling.

Aktien handlas under inlösenpriset för TO 13

Teckningsoptionerna av serie TO 13 emitterades i samband med den företrädesemission som genomfördes under det andra kvartalet. Optionerna ger innehavaren rätt att teckna en ny aktie för 1,60 kronor, vilket motsvarar aktiens kvotvärde. Nyttjandeperioden löper till den 21 september, och vid fullt nyttjande skulle bolaget tillföras cirka 32,4 miljoner kronor före emissionskostnader.

Problemet är priset. Aktien stängde på 1,25 kronor den 14 september, 22 procent under inlösenpriset. En teckningsoption som ger rätten att köpa något över marknadspriset saknar praktiskt värde, och få innehavare kan förväntas utnyttja den.

Det är bakgrunden till garantin. Vator Securities har åtagit sig att teckna aktier för upp till 19,3 miljoner kronor och har i sin tur kontrakterat huvudinvesterarna Alumni Capital och Tellus Equity, tillsammans med befintliga aktieägare och externa investerare, däribland Leif Helth Jensen, John Haurum och Thomas Larsson.

För åtagandet erhåller Vator 10 procent av det garanterade beloppet i kontanter och 30 procent i nyemitterade aktier. Dessa aktier emitteras till 1,60 kronor, en premie på 28 procent jämfört med stängningskursen. Mätt mot den faktiska aktiekursen uppgår den totala ersättningen till en effektiv garantiavgift på ungefär 12 procent.

Styrelsen motiverar strukturen med att den ger en högre säkerhet för genomförandet och en lägre förväntad utspädning än vad en företrädesemission till nuvarande marknadsvillkor skulle ha inneburit.

Så fungerar säljoptionen

Utöver garantiåtagandena har ExpreS2ion även ingått ett avtal om en säljoption med Alumni Capital. En säljoption ger rätten att sälja något till en annan part till ett förutbestämt pris. I det här fallet har ExpreS2ion säkrat rätten att sälja nya aktier till Alumni Capital för upp till totalt 50 miljoner kronor över en 24-månadersperiod.

Det finns ingen skyldighet att använda faciliteten och ingen automatisk utlösare. ExpreS2ion kan kalla på kapital när det passar, men varje delutbetalning (tranch) är maximerad till det lägsta av antingen 5 miljoner kronor, 500 000 aktier eller 300 procent av den senaste mediantradingvolymen. Alumni Capital har även åtagit sig att inte blanka aktien under denna period, vilket skyddar mot att investeraren pressar ner priset inför varje uttag.

Priset fastställs till 94 procent av den lägsta volymvägda genomsnittskursen under de fyra handelsdagar som föregår varje meddelande om uttag, vilket ger Alumni en rabatt på sex procent.

Golvpriset på 4,00 kronor

Optionsavtalet har ett golvpris på 4,00 kronor per aktie. Under den nivån kan bolaget inte utnyttja faciliteten överhuvudtaget. Med en aktiekurs kring 1,25 kronor skulle priset behöva mer än tredubblas innan finansieringen blir tillgänglig.

– Genom att sätta golvpriset till 4,00 kronor per aktie, väsentligt över bolagets nuvarande aktiekurs, har säljoptionsavtalet avsiktligt strukturerats så att det endast kan utnyttjas vid marknadsvärderingar som ligger betydligt över nuvarande nivåer. Därmed harmoniseras den framtida tillgången till finansieringen med bolagets ambitioner för sina kliniska och affärsmässiga framsteg, säger Alumni Capitals portföljförvaltare Xavier Indeglia.

Logiken är att faciliteten inte kan användas för att späda ut aktieägarna på dagens nivåer, utan först när bolaget levererar och aktiekursen följer efter.

Avtalet kostar pengar oavsett om det utnyttjas eller inte. Åtagandeavgiften uppgår till 5 procent av det åtagna beloppet, eller 2,5 miljoner kronor, vilket kan betalas i aktier eller kontanter enligt bolagets val, plus 500 000 aktier värda cirka 625 000 kronor baserat på stängningskursen den 14 september. Avgiften förfaller till betalning vid avtalets så kallade ”Effective Date”, vilket infaller tidigast i mars 2027.

The TO 13 exercise price sits above the current share price, which is why the guarantee was needed. What does the guarantee actually secure for you in practical terms, and how far does SEK 19.3 million take ES2B-C001?

– It secures certainty of funding and, subject to approval at the EGM on 1 October, it does that at a minimum of approximately SEK 19.3 million, around 60 per cent of the maximum proceeds from TO 13, whatever the level of warrant exercise.

– The net proceeds are prioritised first to take ES2B-C001 through the primary readout of the Phase I study: safety, immunogenicity, and the translational analyses assessing early evidence of anti-tumour activity. Second, to strengthen our financial position in the licensing negotiations we have ongoing and planned with international oncology players.

– Reaching the readout is what changes the character of those conversations, because we will then be discussing an asset with human data rather than a preclinical package. The guarantee secures the capital to take the study through to that readout.

The effective guarantee fee works out at around 12 per cent. How did you weigh that cost against the alternative of a rights issue, and what made this the better route?

– We looked at the alternatives, and this was the route that protected existing shareholders best. Among other options the Board considered the anticipated dilution effect of a rights issue on current market terms in Sweden against that of the partially underwritten exercise of the TO 13 warrant programme, and expects the dilution effect to be smaller for the partially underwritten exercise. Alongside certainty of execution, that is what decided it. It lets us secure the required capital with lower expected dilution than would otherwise be available.

– The Board’s assessment is that the guarantee compensation is proportionate to the undertaking assumed by the guarantor and adapted to prevailing market conditions. What we are buying is certainty, at a point where certainty has real value: it means we have the capital to take the Phase I study through to its primary readout.

– And the outcome is partly in shareholders’ hands. Holders who exercise their warrants before 21 September thereby limit the number of shares issued in the directed issue. We appreciate the continued backing of our existing shareholders, and we’re pleased to welcome new investors alongside them.

The put option facility carries a floor price of SEK 4.00 against a share price of SEK 1.25. From your side, what is the value of a facility you cannot access at today’s levels?

– The facility is deliberately structured so it cannot be used at today’s levels. That is the point of it, not a limitation of it.

– A committed equity line without a floor lets a company issue shares at whatever price the market happens to be at, which tends to work against existing shareholders precisely when they are most exposed. The floor price of SEK 4.00 means the facility only becomes available at valuations substantially above current levels. As Alumni Capital put it in the announcement, it aligns future access to the financing with our ambitions for our clinical and corporate progress. Beyond the commitment fee shares, nothing is issued unless and until we draw, and we only draw if we’ve delivered.

– The near-term capital comes from the TO 13 programme. The facility is optional additional financing that we may access at our discretion: we decide at our sole discretion whether and when to draw, and Alumni has undertaken not to engage in short selling during the commitment period.

The commitment fee of SEK 2.5 million plus 500,000 shares falls due at the Effective Date regardless of whether you draw on the facility. How do you justify that cost to shareholders?

– It’s an option premium. We’re paying for the right to raise up to SEK 50 million at our own discretion over 24 months, without any obligation to use it.

– The fee falls due at the Effective Date, which is 15 March 2027 at the earliest, so this isn’t cash leaving the business now, and we have discretion whether to settle the five per cent in cash or in shares. The terms were negotiated at arm’s length with the assistance of our financial advisors, and the Board’s assessment is that they are on market terms taking into account our operations and financial position.

– If the question is whether the optionality is worth having, our view is that it is. We are a clinical-stage company heading into a Phase I readout, and the financing environment for companies like ours is not something we control. Having a facility in place that we can draw on at our discretion, with a floor that protects shareholders from dilution at depressed valuations, is worth a premium. If we never draw on it, we will have paid for insurance we didn’t need, and that is the nature of insurance.

You describe strengthening your position in licensing negotiations as a priority use of the proceeds. Does having committed financing in place change how those conversations go, even if the capital is not drawn?

– It does. A counterparty assessing a partnership is assessing whether you can execute on what you’re proposing. The TO 13 proceeds take ES2B-C001 through the primary readout, so we can have these conversations on the basis of what the data shows, on a timeline that suits the science.

– The facility adds to that. Its availability depends on our own performance, so it isn’t a substitute for delivering, but it means we have a route to capital at our own discretion. We’d rather reach agreement on the strength of the asset than for any other reason, and this supports that.

Securing a strategic partnership for ES2B-C001 remains the primary objective. Where do those discussions stand, and what does the phase I readout need to show to move them forward?

– Partnering remains our primary objective. We have licensing negotiations ongoing and planned with international oncology players, and those conversations are confidential, so I won’t go further on where they stand.

– On the readout itself, the Phase I primary analysis comprises safety, immunogenicity and translational analyses assessing early evidence of anti-tumour activity. I won’t set criteria in advance.

– What I can point to is what we showed at our Q2 results presentation. In exploratory assays, antibodies raised by ES2B-C001 engaged three effector mechanisms: complement activation, which trastuzumab does not engage; a higher maximum phagocytosis response than trastuzumab in the same assay; and a maximum cytotoxic response comparable to trastuzumab. That is non-GLP exploratory work on purified IgG from vaccinated non-human primates, not a formal preclinical study, and human results aren’t available yet and may differ. The same three assays are now running on Phase I patient serum.
